Welcome to Vantage OpEx. These Terms of Service govern your use of our executive coaching platform. By creating an account or using our services, you agree to these terms.

1. Service Overview

Vantage OpEx provides AI-powered executive coaching through personalized sessions with professional coaches Holly Silva and David Rush. Our platform combines human expertise with advanced AI to support your leadership development and operational excellence.

2. Eligibility & Account

Who Can Use Vantage OpEx

• You must be at least 18 years old
• You must be a business professional, executive, or entrepreneur
• You must have authority to enter into this agreement
• You must provide accurate, current information during registration

Account Responsibility

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of unauthorized access
• Ensuring your account information remains accurate and current

3. Subscription & Payment

Billing

• Subscriptions are billed monthly or annually as selected
• Payment is processed securely through Stripe
• Prices are subject to change with 30 days notice
• All fees are non-refundable except as required by law

Session Booking

• Individual coaching sessions are billed separately: $75 for 30 minutes, $150 for 60 minutes
• Sessions must be scheduled via the platform's booking system
• Cancellations made less than 24 hours before a session may be charged
• No-shows are charged at full session rate

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You retain access to the platform until that date. No refunds are provided for partial billing periods.

4. Acceptable Use

You agree to use Vantage OpEx only for lawful purposes and in accordance with these Terms. You will not:

• Share your account credentials with others
• Use the platform to store or transmit malicious code
• Attempt to access other users' data or accounts
• Reverse engineer, decompile, or disassemble the platform
• Use automated systems to access the platform without authorization
• Harass, abuse, or harm coaches or other users
• Violate any applicable laws or regulations

5. Intellectual Property

Vantage OpEx Content

The platform, including its design, features, AI models, coaching frameworks, and content, is owned by Vantage OpEx and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the platform for personal coaching purposes only.

Your Content

You retain ownership of information you share during coaching sessions. By using Vantage OpEx, you grant us a license to use this content to:

• Provide and improve coaching services
• Generate insights and track your progress
• Train and refine our AI coaching models (in aggregated, anonymized form)

Your privacy is critical to us. Our Privacy Policy explains how we collect, use, and protect your information. By using Vantage OpEx, you consent to our data practices as described in that policy.

Coaching Confidentiality

Session content is treated as confidential between you and your coach, subject to these exceptions:

• Legal obligations (e.g., court orders, threat of harm)
• Service improvement (aggregated, anonymized data)
• Technical service providers bound by confidentiality agreements

8. Service Availability

We strive for 99.9% uptime but cannot guarantee uninterrupted access. We may:

• Suspend service for maintenance or updates
• Modify or discontinue features with notice
• Limit usage to prevent abuse or ensure platform stability

We are not liable for service interruptions, data loss, or consequential damages from unavailability.

9. Termination

By You

You may close your account at any time through your account settings or by contacting us.

By Vantage OpEx

We may suspend or terminate your account if:

• You violate these Terms
• Your account shows fraudulent activity
• Payment obligations are not met
• Required by law or to protect our rights

Upon termination, your access ends immediately. We may retain certain data as described in our Privacy Policy.

10. Disclaimers

VANTAGE OPEX IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Guarantees of specific coaching outcomes or business results
• Assurances that AI-generated content is error-free
• Promises of uninterrupted or secure service

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Vantage OpEx's total liability is limited to the amount you paid in the 12 months preceding the claim
• We are not liable for indirect, incidental, consequential, or punitive damages
• This includes damages for lost profits, data loss, or business interruption
• These limitations apply even if we've been advised of the possibility of such damages

12. Indemnification

You agree to indemnify and hold Vantage OpEx, its coaches, and service providers harmless from claims arising from:

• Your use of the platform
• Your violation of these Terms
• Your violation of others' rights
• Content you submit to the platform

13. Dispute Resolution

Informal Resolution

Before filing a claim, you agree to contact us at holly@vantageopex.com to seek informal resolution. We commit to working in good faith to resolve disputes.

Arbitration

Any dispute that cannot be resolved informally will be settled by binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits.

Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law provisions.

14. Changes to Terms

We may update these Terms to reflect:

• Changes in our services or features
• Legal or regulatory requirements
• Industry best practices

Material changes will be communicated via email or platform notice at least 30 days before taking effect. Continued use after changes constitutes acceptance.

15. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vantage OpEx.

Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

No Waiver

Failure to enforce any provision does not waive our right to enforce it later.

Assignment

You may not assign these Terms without our consent. We may assign them to affiliates or in connection with a merger or sale.
